Export Control Compliance Policy & Customer Agreement
Dear Valued Customer, As a global provider of high-quality products, we are committed to maintaining the highest standards of legal and ethical compliance. Because our products and technologies may be subject to various export control and economic sanctions laws, we require all customers to review, understand, and strictly adhere to the export compliance regulations outlined below. Please read this document carefully, as compliance with these regulations is a mandatory condition of doing business with our company. 1. Overview of Export Controls
Export control laws are regulations imposed by governments (such as the United States, the European Union, and other international jurisdictions) to protect national security, advance foreign policy objectives, and prevent the proliferation of weapons and unauthorized technology. These laws govern not only the physical shipment of goods across international borders but also the transfer of technical data, software, and services to foreign nationals or entities, regardless of location (often referred to as "re-exports" or "deemed exports"). 2. Prohibited Parties and the Consolidated Screening List (CSL)
Governments maintain restricted party lists containing individuals, companies, and organizations that are prohibited from receiving certain or all exports, re-exports, or transfers due to national security, terrorism, or proliferation concerns. To ensure compliance, you must screen all of your downstream customers, partners, and end-users against these government databases. The United States Government provides a unified portal to cross-reference these restricted entities: The CSL consolidates restrictions from the Department of Commerce (Bureau of Industry and Security), the Department of State, and the Department of the Treasury (Office of Foreign Assets Control - OFAC), among others. 3. Customer Agreement and Resale Restrictions
By purchasing, receiving, or utilizing our products, technology, or software, you explicitly agree to the following terms: - Prohibition on Resale to Denied Persons: You certify and agree that you will not sell, resell, export, re-export, lease, transfer, or otherwise divert any of our products, software, or technical data to any individual, entity, or organization listed on the Consolidated Screening List, or to any party owned or controlled by a sanctioned entity.
- Sanctioned Destinations: You agree not to ship or transfer our products to any country or region subject to comprehensive government embargoes or economic sanctions (e.g., Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine), unless explicitly authorized by a government license.
- Prohibited End-Uses: You certify that our products will not be used, directly or indirectly, in any activity related to the development, production, or use of nuclear, chemical, or biological weapons, or missile delivery systems.
4. Consequences of Non-Compliance
Failure to adhere to export control laws and the provisions of this agreement constitutes a material breach of your contract with us. Non-compliance may result in: - Immediate termination of all open orders and business relationships.
- Report of the violation to relevant government regulatory authorities.
- Severe civil and criminal penalties, including substantial fines and imprisonment for involved individuals, imposed by governing authorities.
5. Acknowledgement and Compliance Verification
By executing a purchase order or accepting delivery of our items, you represent and warrant that you have adequate internal screening mechanisms in place to comply with these requirements and that you will maintain accurate records of all transactions involving our products for a minimum of five (5) years, available for review upon request. If you have questions regarding the classification of our products or your export compliance obligations, we highly recommend consulting with a qualified trade compliance professional or legal counsel. By proceeding with your transaction, you acknowledge that you have read, understood, and agree to be legally bound by this Export Control Compliance Policy.
